摘要	In this paper, a review of OFDI (Outward-Foreign Direct Investment, OFDI) theory has been done. Then we proposed a SMEs OFDI theory which based on non-equilibrium dynamics perspective. The theory Consider that it is necessary and sufficient conditions for SMEs to carry out an OFDI, SMEs must be in the non-equilibrium state and they have some advantages which can ensure the appropriate expected return. we build a mathematical model to describe the theory. Finally, the use of statistics of China's OFDI has been used to verify the theory as an empirical research.
